Hotel Chain Fails To Meet $367 Million Debt Obligations

Red Roof Inn Inc., a hotel chain popular with business travelers on a budget, defaulted on $367 million face amount of mortgage debt, the latest hotel casualty in an industry that has been hard hit by the recession.

The defaults were reported by credit-rating company Realpoint LLC based on reports by the mortgages’ servicing company. Red Roof confirmed the defaults Tuesday.

In 2007, Red Roof was acquired from Accor SA for $1.3 billion by a group led byCitigroup Inc.’s C 0.61% Global Special Situations Unit and including hotel manager Westmont Hospitality Group. The deal left Citigroup with a 79% stake in Red Roof. This month, Red Roof’s owners missed scheduled payments on four mortgages with 131 Red Roof Inns pledged as collateral. All told, Red Roof’s properties carry nearly $1.2 billion in debt, including mortgages, mezzanine loans and other notes.

“As a result of the extraordinary stress in the hospitality industry and the economy overall, we have entered into some restructuring discussions with our lenders,” said Andrew Alexander, an executive vice president of Red Roof. “It has had no effect on our company operations or our franchise operations.”

Red Roof, founded in Columbus, Ohio, in 1973 by builder James R. Trueman, initially charged guests $8.50 per night. The chain now owns 210 hotels, and its franchisees own 130.

Red Roof Inn Tucson Airport Sold For $4 Million

TUCSON, ARIZONA — The Red Roof Inn at 3704 E Irvington Road at the Tucson Airport was purchased by a California investor for $4 million, or $34,000 per room.

The seller, a Joint Venture between a Singapore investor and Westmont Hospitality Group purchased the property in a portfolio at an auction sale that contained 89 hotels with 10,715 rooms in 2015. There were two Tucson Red Roof Inns that sold in the $600 million transaction, the 118-room hotel at 3704 East Irvington Road was purchased in Tucson for $2.89 million and the 133-room hotel at 4940 West Ina Road in North Tucson was bought for $2.95 million according to public records.

Since the acquisition, Westmont has been selling off the properties one at a time.

Since inception, Red Roof Inn has owned and managed a number of properties directly. With the purchase of the brand from Accor, individual inns were placed into portfolios purchased by investment groups such as Five Mile Capital Partners, LLC., while Red Roof retained management. Through sales of individual inns for various reasons, the managed properties were whittled down to 67 by September, 2020 when they were removed from under the Red Roof Inn, Inc. umbrella and managed by a newly formed entity named RRI West Management, LLC. Some administrative functions remained in New Albany, Ohio while others moved to El Cajon, California. RRI West became the single largest franchisee of the Red Roof brand.

COLUMBUS, OHAs he turned the key to open a small motel here in the neighborhood of Grove City back in 1972, its unlikely entrepreneur James R. Trueman could have imagined he would influence an Asian counterpart to essentially do the same thing in Japan 44 years later.

And he hardly could have guessed his decision early in 1973 to give his baby the clever, catchy name Red Roof Inn would resonate so well with guests that two decades later, investors and other hoteliers would be clamoring for their own Red Roof Inn experience as the closely held economy brand grew.

Or that the simple name on his nugget of a motel business would one day run across the ticker at the New York Stock Exchange. Or that his baby would have a sibling: Red Roof PLUS+. Or that more than 400 locations, both domestic and international, could boast a Red Roof product.

However, what Trueman absolutely did know as he launched what is now emerging as a global lodging brand, was that he wanted to provide a clean, comfortable room at a fair price, which he tagged at $8.50 per night when he opened.

That ethoseven with changes over the decades to its business model, ownership, design and distribution remains at the core of the brands operating philosophy.

Nearly two years after a group of investors ran into trouble on its 2007 purchase of Red Roof Inn chain, opportunistic investors are scooping up the no-frills hotels.

Five Mile Capital has reached a tentative deal to pay 55 cents on the dollar for $465 million in loans tied to 79 Red Roof Inns.

Private equity firm Five Mile Capital has reached a tentative deal to buy $465 million in troubled loans tied to 79 Red Roof Inns, according to multiple people familiar with the matter. The firm has agreed to pay around 55 cents on the dollar for the portfolio to debt holders, which are represented by C-III Asset Management, a special servicer for loans.

The deal, which could still fall apart, follows a similar transaction in which a group led by Dune Capital Management LP purchased about $235 million in debt tied to 48 properties. That group agreed to pay around $120 million, people familiar with the matter said.

The venture that owns Red Roof, which includes Westmont Hospitality Group and Citigroup Inc., has been negotiating with creditors since defaulting on some $754 million in mortgages tied to 127 hotels in 2009, according to Realpoint LLC. The venture has tentatively agreed to turn over ownership of the hotels to debt holders, Realpoint reported earlier this year. That means investors that are buying debt essentially are buying properties, people familiar with the matter said.

Economy hotels are aplenty in the hospitality business, but Red Roof Inn stands out from among the many options with its quality accommodations, and its experience in the industry. Red Roof Inn saw its beginning in 1973 in Columbus, Ohio. It was founded by Jim Trueman, but after his demise, his family was unable to run the company and soon saw the hotel purchased by a real estate fund company, the Morgan Stanley.

Years later, Morgan Stanley offered franchising opportunities for Red Roof Inn and the first franchise was in Branson, Missouri. Accor Company eventually purchased the Red Roof Inn from the Morgan Stanley which saw Red Roof Inn boom to expand to 37,208 rooms in 324 locations.

After the purchase, Accor was deemed to be the third largest owner of hotel chain worldwide. But in 2007, Accor sold Red Roof Inn to Westbridge Hospitality Fund LP and Global Special Situations Group for $1.3B.

Westbridge Hospitality Fund then decided to expand the chain year after year. They opened new hotels in different locations including Brazil, Thailand, Japan, and Canada. One of the brand extensions is the Red Roof Plus that was launched in 2014. It is more expensive as compared to the Red Roof Inn. The amenities were improved such as enhanced LED lighting, outside signage, and new room type.

Another midscale hotel under the umbrella of Red Roof Inn was launched in 2018 called the Red Collection. It is in Downtown Chicago and later expanded in the New York City and Illinois.
